WOMEN IN LEARNING IS A 501(C)(3) TAX-EXEMPT ORGANIZATION. BY ACCESSING AND USING THIS WEBSITE, YOU ARE AGREEING TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE, INCLUDING ALL AMENDMENTS MADE AFTER JUNE 9, 2021, AND ALL APPLICABLE FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS. Subject to these Terms of Service, the Administrator grants you a non-exclusive, non-transferable, limited, freely revocable license for personal, non-commercial use of the Website. Absent express written authorization from the Administrator, any other use shall be an unauthorized use and can lead to termination of your license by the Administrator.

You agree not to copy data from the treatment center database. You agree not to cause a load on our infrastructure not in line with normal, personal use of the Website and features thereof. You agree not to bypass or attempt to bypass any security measures designed to protect data or limit access to any part of the Website. You agree not to use the Website for any unlawful purpose.

The Website may contain and/or display information (“Contributed Information”), such as blog posts, forum posts, articles, papers, images, graphics, videos, data, URLs, or text written, created, and/or submitted by individuals or companies (“Contributors”), which may or may not have affiliations with the Administrator. Contributors may include individuals or companies labeled as experts on the Website. Contributed Information may be requested or solicited by the Administrator. The Administrator shall have no liability to viewers of the Website arising out of any other linked website owned and/or operated by the Administrator. SUBMISSIONS TO WOMEN IN LEARNING

The Administrator does not agree to obligations of confidentiality or non-disclosure with regard to information you voluntarily submit via this Website, including, without limitation, any submission made by email, video, or through online forms. By submitting information or materials to Women in Learning or the Administrator, its principals, employees, attorneys, and/or agents, you or anyone acting on your behalf, agrees that any such information or materials will not be considered confidential or proprietary. Women in Learning reserves the right to record programs at its own discretion. Any and all recordings are the sole property of Women in Learning.

DONATIONS

You may become a donor by making a donation to Women in Learning through the tools on this Website.  You acknowledge and agree that you are under no obligation to become a donor and that you will be solely responsible for any decision to become a donor.  You understand that your donation is being made to Women in Learning and that Women in Learning has exclusive legal control over all donations. Your donation is effective immediately.  You agree that all donations are final and will not be returned, in whole or in part, unless Women in Learning, in its sole discretion, agrees to issue a refund. Women in Learning is a 501(c)(3) tax-exempt entity recognized by the Internal Revenue Service (EIN: 84-2671395). Donations may qualify for tax deductions. Please consult a qualified tax professional regarding any donation you make to Women In Learning. Upon email request, Women in Learning can send you a 501(c)(3) tax-compliant donation receipt.

CAMPAIGNS

Your donation to a specific campaign, including merchandise orders, is effective immediately. Your donation can be made any time from the start of the campaign until the specified deadline. Some or all donations to a specific campaign may be directed toward another charity or individual as specified in each campaign description. When you make a donation, it is your responsibility to understand how your money will be used. Women in Learning does not represent or guarantee that the donations will be used in accordance with any fundraising purpose prescribed by a campaign or in accordance with applicable laws. Donors are not permitted to impose restrictions on the use of donations. Women in Learning shall have full discretion to determine how all Donations will be used. Recipients of any campaign fund must permanently reside in the United States or United States territories. If you have questions regarding the use of funds or if you have reason to believe that a campaign is not raising or using the funds for its stated purpose, reports may be directed to womeninlearning@gmail.com. You agree that all donations to campaigns are final and will not be returned, in whole or in part, unless Women in Learning, in its sole discretion, agrees to issue a refund.

DONOR CONDUCT

In order to make a donation to Women in Learning or contribute to a campaign, a donor will be required to provide Women in Learning information regarding its credit card or other payment instrument (“Payment Instrument”). You, as a donor, represent and warrant to Women in Learning that such information is true and that you are authorized to use the applicable Payment Instrument. [Women in Learning uses third-party payment processing partners to bill you through your Payment Instrument for any donations made, and donors acknowledge that by contributing a donation, the donor agrees to the processing, use, transfer or disclosure of data by our payment processors pursuant to any and all applicable terms set forth by our payment partners [including Fundrazr, Stripe, and Square], in addition to these Terms of Service.]

DISCLAIMER OF WARRANTIES AND LIABILITY

Any controversy, claim, or dispute arising out of or relating to these Terms of Service or the breach thereof shall be settled solely and exclusively by binding arbitration held in New York, New York and administered by JAMS. Such arbitration shall be conducted in accordance with the then prevailing JAMS Streamlined Arbitration Rules & Procedures, with the following exceptions to such rules if in conflict:

  1. one arbitrator shall be chosen by JAMS;

  2. each party to the arbitration will pay an equal share of the expenses and fees of the arbitrator, together with other expenses of the arbitration incurred or approved by the arbitrator; and

  3. arbitration may proceed in the absence of any party if written notice (pursuant to the JAMS’ rules and regulations) of the proceedings has been given to such party. Each party shall bear its own attorney’s fees, costs, and expenses. The parties agree to abide by all decisions and awards rendered in such proceedings. Such decisions and awards rendered by the arbitrator shall be final and conclusive. All such controversies, claims, or disputes shall be settled in this manner in lieu of any action at law or equity; provided, however, that nothing in this subsection shall be construed as precluding the bringing of an action for injunctive relief as in the preceding paragraph of this section.     1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEREBY IRREVOCABLY WAIVES ALL RIGHT TO TRIAL BY JURY AS TO ANY ISSUE RELATING HERETO IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY OTHER MATTER INVOLVING THE PARTIES HERETO, AND

    2. SUBMITS TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE FEDERAL OR STATE COURTS LOCATED IN NEW YORK COUNTY, NEW YORK AND EACH PARTY HERETO AGREES NOT TO INSTITUTE ANY SUCH ACTION OR PROCEEDING IN ANY OTHER COURT IN ANY OTHER JURISDICTION.

Each party irrevocably and unconditionally waives any objection that it may now or hereafter have to the laying of venue of any action or proceeding arising out of or relating to these Terms of Service in the courts referred to in this section.
